By-Laws of the Yale Club of the Treasure Coast

ARTICLE I : Name

The name of this organization shall be the YALE CLUB OF THE TREASURE COAST, hereinafter referred to as “the Club”.

ARTICLE II : Purpose

Section 1

In General, the Club provides a Yale presence in the Treasure Coast area, from Stuart to Melbourne Florida, and helps alumni/ae (hereinafter alumni) keep in touch with Yale, and helps Yale keep in touch with her alumni.

Section 2  The Specific purposes of the Club are:

1) To sponsor events that provide the opportunity for Yale Alumni to meet one another, to keep all alumni in the Treasure Coast area informed about Yale, and to inform Yale about alumni concerns and opinions. 

2) To sustain the activities of the Club's Alumni Schools Committee in identifying, interviewing, and recruiting qualified candidates for Yale,  and to help persuade admitted candidates to attend Yale.

3) To support the spirit of “Yale Day of Service” in the Treasure Coast community.

4) To provide the means for selecting a club representative to the Yale Alumni Association, who will serve as a channel for opinion and information both to and from the University.

5) To provide a hospitable atmosphere for students and their parents prior to their matriculation at Yale and throughout their years of study at Yale. 

ARTICLE III : MEMBERSHIP 

Section 1 Classes of Members 

The Club shall have one class of Members, namely Regular Members.

Section 2 Regular Membership 

Any person who maintains a place of residence or a place of business in the Treasure Coast area, as assigned by the YAA, and who has attended Yale University for a period of time, or who’s received an honorary degree and who is or has been on the academic or administrative staff of Yale University, or who is a widow or widower of a person qualified for membership, or has a close relative who is at or graduated from Yale, is considered a Regular Member of the Club.  

Section 3 Voting Rights

Regular Members may vote at all elections and meetings of members on all matters properly before the membership. Regular members shall be entitled to participate in the functions and activities of the Club subject to the provisions of these by-laws and such rules and regulations as may be established from time to time by the Board of Directors of the Club.

Section 4  Sustaining Contributions

Regular Members shall be solicited annually for tax deductible sustaining contributions intended to provide funding for administrative expenses. The Board of Directors shall be responsible for approving the Club’s annual budget.

Section 5 Event Pricing

To encourage maximum participation, Club events shall be primarily priced on a cost recovery basis.

ARTICLE IV : MEETING OF MEMBERS

Section 1 Annual Meeting

The annual meeting of the members of the Club shall be held at such time and at such place as may be designated by the Board of Directors, for the purpose of electing directors and officers as required, and for the transaction of such other business as may come before the meeting. Written or printed notice stating the place, day and hour of the meeting shall be delivered by the Secretary to each member at least 10 days before the annual meeting date.

Section 2 Special Meetings

Special meetings of the members may be called at any time by the President, or by three members of the board of directors, or by regular members having not less than 1/3 of the votes entitled to be cast at such meeting. A written or printed statement will be submitted to the Secretary, setting forth the time, date, place and purpose of such proposed meeting, not less than 10 or more than 45 days before the date of the meeting. A copy of such statement, including the names subscribed there too, shall be delivered by the Secretary to each member not less than five nor more than 40 days before the date of such meeting.

ARTICLE V : BOARD OF DIRECTORS 

Section 1 General Powers

The control and management of the affairs and funds of the Club shall be vested in a board of directors.

Section 2 Qualifications 

Any person, to be elected as a member of the board of directors of the Club, must have earned a degree or honorary degree or faculty appointment from Yale University.

Section 3 Composition 

The Board of Directors shall consist of the President, vice President, Secretary, treasurer and other directors. 

Section 4 Tenure

A maximum of 11 directors shall serve 3-year terms, with 1/3 of their number elected each year. The Board of Directors may alter their number while preserving the odd number to avoid deadlocks. 

Section 5  Meetings

The Board of Directors shall meet at least quarterly at such times and places as designated by the President. Special meetings may be called by three members of the Board.

Section 6. Vacancies

Any vacancy shall be filled by the election of a successor director by a majority of the members of the Board present at any regular or special meeting of the Board. Such successor director shall hold office for the unexpired term of his predecessor in office.

ARTICLE VI : OFFICERS

Section 1 Numbers and Titles

The officers of the Club shall be a president, a vice president, a secretary, and a treasurer, and other officers as the board shall appoint. No two or more offices may be held by the same person.

Section 2 Qualifications 

Any person to be elected as an officer of the Club must have an earned or honorary degree from or faculty appointment at Yale University.

Section 3 Tenure

The officers of the Club shall be elected annually by the regular members for a term of one year and shall hold office until their successors are duly elected and qualified. No person shall hold the presidency or other officership for more than six consecutive years. 

Section 4 Vacancies 

Whenever a vacancy shall occur in any office, the Board of Directors, by the affirmative vote of all members of the board present at any meeting or special meeting thereof shall elect a successor to hold such office for the unexpired portion of the term and until a successor is duly elected and qualified.

Section 5 President 

The President is the chief executive officer of the Club, a director and chairman of the board. Subject to the direction and control of the board of directors, he has general and active control of the business and affairs of the Club. He presides at all meetings, appoints all committee chairman, and is responsible for the orientation of new officers and an orderly transition of leadership.

Section 6 Vice President 

The vice president assists the president and sometimes serves as Chairman of the Program Committee.

Section 7 Secretary 

The Secretary maintains an up-to-date list of all Yale alumni in the Treasure Coast area, notifies the alumni records office in New Haven of address changes, sends notices of meetings and other events, and keeps minutes and records of the Club.

Section 8 Treasurer

The treasurer is responsible for the Club's finances and the authorization of expenditures. The treasurer has charge of, and is responsible for, maintaining adequate books of account for the Club. He or she renders to the President and the Board of Directors, at all regular meetings of the Board, and whenever they request it, an account of the financial condition of the Club.

ARTICLE VII : COMMITTEES 

Section 1 A Delegate to Yale Alumni Association 

The standing committees of the Club function only in advisory capacity and shall be subject to the authority of the Board of Directors. The standing committees are as follows:

A) Yale Alumni Association  A representative from the Board of Directors or the general membership shall be appointed by the President to serve as a delegate to the YAA Assembly for a 3-year term

B) Alumni Schools Committee    The members of this committee shall be appointed by the President. The functions of the committee shall be to assist the Yale office of undergraduate admissions, primarily by interviewing on its behalf prospective Yale students residing in the Treasure Coast area. The committee may utilize the services of Yale graduates who are not members of the Club in carrying out its functions.

C) Program Committee    This Committee shall consist of at least two members appointed by the President. The function of the Committee shall be to help plan and implement the programs, events, and activities of the Club.

D) Nominating Committee    This committee shall consist of three members of the Club: a chairman of the Committee and two additional members appointed by the President. The function of the committee shall be to nominate persons to fill any vacancies in the offices and directorships and to submit the names of persons to the board to be voted on by the Club membership at the annual meeting.

Section 2 Other Committees

The president or the board of directors may designate such other committees as they may from time to time deem necessary.

Section 3 Term of Office

Each member of a committee shall continue until the next annual meeting of the Members of the Club, and until a successor is appointed, unless the committee shall sooner be terminated or unless such members shall cease to qualify as a member thereof.

Section 4 Vacancies 

Vacancies in the membership of any committee may be filled by appointments made in the same manner as provided in the case of original appointments. 


ARTICLE VIII : FISCAL YEAR


The fiscal year of the Club shall begin on the first day of May each year and end on the last day of April the year following.


ARTICLE IX : AMENDMENTS TO THE BY-LAWS

These by-laws may be amended by the Board of Directors. Such action may be taken by a 2/3 vote of all members of the Board present at any regular or special meeting for which advance written notice shall be given, and shall subsequently be ratified by a majority of the membership present at the next regular or specially called meeting
